Terms of use

These Terms of Use (“Terms”) govern your access to and use of Penny’s products and services, including the Penny experience in ChatGPT and any Penny websites, dashboards, or other offerings we may provide (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Who We Are
   Penny is a product discovery and price tracking service. Unless we say otherwise, Penny is not a retailer and does not sell products directly.

2. Eligibility
   You must be able to form a binding contract to use the Service. If you are not of legal age where you live, you may use the Service only with the involvement of a parent or legal guardian.

3. The Service and How It Works
   A) Product discovery and information
   The Service helps you search for products and view product information (including prices, images, and availability) sourced from third parties and our backend systems.

B) Price tracking and alerts
The Service may allow you to track products for price changes and view price history. Price tracking may require authentication through our identity provider. We may store your tracked products and associated identifiers to provide this functionality.

C) Redirects to third-party sites
If you click “View on Website” or similar links, you will be redirected to a third-party website. Your purchase and any interaction with that third party is solely between you and the third party.

4. No Retail Relationship; Accuracy Disclaimers
   A) Not the seller
   Penny is not the seller of the products displayed unless explicitly stated. Third-party retailers set their own prices, promotions, and policies.

B) Accuracy and availability
Product content, price, availability, and shipping details may be incomplete, outdated, or incorrect and may change at any time. You should verify all details directly on the retailer’s website before making a purchase decision.

C) Price alerts are not guaranteed
Price tracking and notifications may be delayed, interrupted, or unavailable due to factors outside our control (including upstream data changes, retailer restrictions, outages, or rate limits). We do not guarantee that you will receive an alert for every price change or that alerts will be delivered within any specific time.

5. Acceptable Use
   You agree not to:

• Use the Service for unlawful, harmful, or abusive purposes.

• Attempt to bypass security measures, scrape, overload, or disrupt the Service.

• Reverse engineer, decompile, or attempt to extract source code or underlying models from the Service except to the extent such restrictions are prohibited by law.

• Use the Service to infringe the rights of others, including intellectual property or privacy rights.

6. Intellectual Property
   The Service, including its software, design, and branding, is owned by Penny and/or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service unless we give you written permission.

Third-party product names, logos, and content shown in results belong to their respective owners and are used for identification and informational purposes.

7. User Content and Feedback
   If you submit feedback, suggestions, or other content to us, you grant us a non-exclusive, worldwide, royalty-free license to use it to operate, improve, and promote the Service, without compensation to you.

8. Privacy
   Your use of the Service is subject to the Penny Privacy Policy. Please review it to understand how we collect and use information.

9. Termination
   We may suspend or terminate your access to the Service at any time if we reasonably believe you violated these Terms, used the Service in a way that could cause harm, or if we need to protect the Service or users.

10. Disclaimers
    THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENNY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OF OR INABILITY TO USE THE SERVICE;

• ANY PRODUCTS, PURCHASES, OR TRANSACTIONS WITH THIRD-PARTY RETAILERS;

• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS; OR

• ANY ERRORS OR INACCURACIES IN PRODUCT CONTENT, PRICING, OR AVAILABILITY.

IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED $100 OR THE AMOUNT YOU PAID US (IF ANY) TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

12. Third-Party Services
    The Service may integrate with or depend on third-party services (including identity providers, analytics/monitoring providers, and retailer sites). We are not responsible for third-party services and your use of them may be governed by their own terms and policies.

13. Changes to These Terms
    We may update these Terms from time to time. The “Last updated” date at the top indicates when changes were last made. Your continued use of the Service after an update constitutes acceptance of the updated Terms.

14. Governing Law; Venue
